Westlake Chemical Corp., Houston , TX announced that is has entered into an agreement to purchase Eastman Chemical Co., Polyethylene business. The sales includes Eastman's polyethylene resin and Epolene polymer business, related assets and the company's ethylene pipeline. The purchase price for the business is $255 million in cash at closing. The transaction is expected to close in the 4 th quarter of 2006, subject to standard closing conditions including regulatory review. The business and assests to be acquired in this transaction generated approximately $680 million in revenue during 2005.
The acquisition includes the polyethylene business and associated operation facilities headquartered in Longview , TX with a capacity of 1,125 million pounds of polyethylene including 700 million pounds of LDPE and 425 million pounds of LLDPE and a 200 mile pipeline. Westlake will also acquire technology for the production of specialty polyolefin polymers including acrylate copolymers and Epolene polymers and low molecular weight polyethylene waxes for the adhesives, coatings and other consumer product markets. Eastman's Epolene waxes are used in water-emulsion floor polishes, textile finishing agents, and lubricants in clay coatings for paper. Other Epolyene polymer waxes are used as lubricants in processing PVC and a processing aid for color concentrates. They are also used in fruit coatings, for slip resistance in floor polishes, and a pigment dispersant and processing aid for plastic resins.
